Forum Edge AI Secures $94.4 Million Deal for Nvidia GPU Capacity
Forum Edge AI has finalized a significant agreement worth $94.4 million with Fireworks AI, granting the latter access to Nvidia B300 GPU capacity at Forum Edge AI’s Dallas data center. The contract is set to run for 36 months.
Joint Venture Structure
Forum Edge AI LLC is a joint venture formed by Forum Markets Inc., which holds a 51% stake and trades under the ticker FRMM, and Edge Node Inc., which owns the remaining 49%. The venture was established on October 2, 2026. Forum Markets announced both the formation of the joint venture and the Fireworks deal concurrently, alongside a projected revenue forecast.
The operational responsibilities are clearly delineated. Edge Node is responsible for the technical and operational aspects, leveraging its standing as an approved Nvidia partner. Forum’s role is to provide the necessary financing and infrastructure to support AI workloads.
Expansion Plans and Revenue Projections
The overarching strategy targets an initial capacity of approximately 11 megawatts, which is expected to power around 4,376 Nvidia B300 and GB300 GPUs across multiple locations. Dallas serves as the primary hub, with 2 megawatts currently operational and plans to expand to 4 megawatts.
A campus in High Point, North Carolina, is slated for 6 megawatts by the first quarter of 2027. Additionally, a Texas tower site is projected to contribute another 1 to 2 megawatts by mid-2027.
Forum Markets has issued consolidated revenue guidance for 2027 ranging from $125 million to $175 million, reflecting projections for the initial phase through mid-2027. The company also anticipates achieving positive cash flow by early 2027.
Forum Markets has stated that no new equity financing will be required for what it terms Phase 0 of the project. Instead, capital expenditures will be funded through customer deposits and equipment financing, aligning the financing structure with the duration of multi-year customer contracts.
Focus on AI Inference
The venture is concentrating on AI inference, as opposed to model training. While training involves a model learning from extensive datasets, inference is the process where a trained model responds to queries, generates content, or operates within user-facing applications.
This focus explains the partnership’s strategy of targeting pre-powered urban sites. These locations benefit from existing electrical capacity and proximity to end-users, thereby reducing latency. The approach also aims to circumvent the protracted timelines often associated with building at hyperscale campuses, where grid interconnection and infrastructure development can cause significant delays.
Fireworks AI: The Key Client
Fireworks AI is the customer on the other side of the agreement. The company offers AI inference services and is reported to have a substantial revenue run rate, with expectations of significant growth in the inference market in the coming years.
For Forum Markets, this venture represents a notable shift. The company has historically been involved in sectors such as aerospace and AI-powered finance. The joint venture structure facilitates this transition by enabling Forum to partner with a company possessing established Nvidia relationships and operational expertise, rather than building these capabilities from the ground up. The Nvidia B300 GPU is a key component of Nvidia’s high-performance lineup, designed for intensive AI workloads.
Shareholder Value and Risks
The deal provides Forum Markets shareholders with tangible benefits: a named customer, a clear financial commitment, and a defined contract duration. The $94.4 million commitment over three years represents a significant anchor, particularly when compared to the company’s 2027 revenue guidance.
The decision to avoid new equity for Phase 0 is also noteworthy. If customer deposits and equipment financing can support the build-out, Forum can avoid diluting existing shareholders during the project’s initial stages.
The primary risks associated with the venture are execution-related. The capacity targets are contingent on multiple sites meeting their development milestones, including the High Point campus reaching 6 megawatts by Q1 2027 and the Texas tower site adding 1 to 2 megawatts by mid-2027.
Customer concentration is another factor to consider. With Fireworks AI as the primary client, the venture’s early success is closely linked to the performance of this relationship throughout the contract term.
Key indicators to monitor include the Dallas site’s expansion to 4 megawatts, the timely completion of the High Point campus, and Forum’s ability to secure additional customers beyond Fireworks to utilize the remaining capacity.
